GRAND MARSHAL SPONSORSHIP AGREEMENT

TERMS & CONDITIONS

1. SPONSORSHIP TERMS
The Sponsor agrees to support the BUCKY ON PARADE public art event (“Parade”) scheduled to take place May – September 2018 according to the terms and conditions of this Agreement.

2. ADVERTISING AND PROMOTION
The Sponsor grants Madison Events the right to use Sponsor’s name and trademarks in all publicity and advertising for the duration of the Parade, including print, television, radio, digital and social media. The Sponsor’s name will be engraved on a nameplate that accompanies the Bucky statue (“Statue”). This nameplate will also include the title of the Statue, the artist’s name and hometown and the MASC logo.

3. SPONSORSHIP FEE AND PAYMENT SCHEDULE
The Sponsor agrees to pay $25,000 to Madison Events as noted below.

Sponsorship payments will be submitted to Kristin Wensing at Madison Events, LLC , 22 E. Mifflin Street, Suite 200, Madison, WI 53703. Once Madison Events receives the Sponsor’s payment(s), the Sponsor cannot terminate or receive a refund of sponsorship funds. Sponsor can withdraw the right to use its name or trademarks, but this withdrawal will not create a right of refund or repayment of sponsorship funds to the Sponsor.

If Sponsor fails to meet the payment schedule, Madison Events can terminate this Agreement, in which case Sponsor will forfeit any payments that have been made and will forfeit continued sponsorship benefits from that point forward.

If this Agreement is terminated, Madison Events has the right to resell the Sponsor’s Bucky statue.

4. SPONSORSHIP BENEFITS
The Sponsor will receive the following:

• Sponsor name engraved on plaque that will be affixed to Statue

• Sponsor will be recognized on buckyonparade.com and through official Parade social media channels

• Sponsor will be recognized in printed collateral, including the official map and guide

• Sponsor will be acknowledged in the Bucky on Parade documentary

• Sponsor will receive eight (8) tickets to VIP Preview Event

• Sponsor will receive eight (8) tickets to post-Parade Auction Party

• Sponsor will own the Statue at the conclusion of the Parade

• Sponsor can allocate $2,500 of their sponsorship to a charity of their choice

5. STATUE DESIGN & LOCATION
Sponsor will choose the design of their Bucky statue from a collection of preselected and preapproved artwork. Selection of the design will begin in November 2017 and take place in the order signed Sponsorship Agreements are received by Madison Events. Sponsor will receive exclusive opportunity to have their Statue placed in a premier location as chosen by the Bucky on Parade Committee.

6. LOGO USE
Sponsor can only use Bucky on Parade logo to promote Sponsor’s participation in Bucky on Parade. The Sponsor may not use the Bucky on Parade logo or Statue for advertising, marketing and/or promotional purposes during the Parade or any time in the future. The Sponsor may not use the Bucky Badger trademark, owned by the University of Wisconsin, in conjunction with promotion of the Parade or promotion of the sponsor’s own goods and services during the time period of the Parade or at any time in the future.

7. RELATIONSHIP OF PARTIES
The parties are each independent contractors. Nothing in this agreement creates any association, joint venture, partnership, or agency relationship of any kind between the parties.

8. DELIVERY
At the end of the public display of the Statues, all Statues will be moved to a holding location by Madison Events. Statues will be cleaned and repaired, as needed. Sponsor will be responsible for arranging for shipment from the holding location to the desired location of the Sponsor. Sponsor will assume all costs associated with the transfer and shipment of the Statue and will assume risk of loss for the Statue once the Statue leaves the holding location. Sponsor has thirty (30) days from receipt of notice by Madison Events to arrange for and ship the Statue from the holding location. If Statue is not removed from the holding location by Sponsor or agent for the Sponsor within forty-five (45) days from the notification, Sponsor releases and foregoes all rights in and to the Statue and permits Madison Events to auction the Statue.

9. RISK OF LOSS
If Madison Events is unable to present the Statue to the Sponsor at the end of the Parade, the sole remedy the Sponsor has is a refund of the purchase price of $9,000.

10. APPLICABLE LAW
All parties will abide by and observe applicable laws, rules and regulations, and ordinances of any applicable government authority. This Agreement will be governed by the laws of the State of Wisconsin and any dispute will be subject to venue in Dane County, Wisconsin.

11. INDEMNIFICATION
Sponsor agrees to indemnify and hold Madison Events, its officers, committees, directors, employees and related entities harmless for any and all claims, damages, costs, losses, expenses, causes of action, liabilities and obligations of whatever nature or type, which the Sponsor has, or may have, or which have been or could have been or in the future otherwise might have asserted against it in connection with acts of the Sponsor, its directors, shareholders, officers, agents or employees. Upon signing this Agreement, Sponsor releases Madison Events from any and all claims for loss, damage or injury.

12. CHANGES TO AGREEMENT
No waiver of any term or condition of this Sponsorship Agreement will be valid unless in writing and signed by the waiving party. Any modification of any term or condition in this Sponsorship Agreement will not be effective unless in writing and signed by both Sponsor and Madison Events.

If Madison Events makes any changes to the Parade, resulting in changes to portion(s) of the Parade, Madison Events will make all reasonable efforts to accommodate Sponsor in the event the Sponsor’s sponsorship is either diminished or modified. In these cases, Madison Events is not responsible for refunding any fees paid by the sponsor. Changes will be communicated to the Sponsor in a timely and appropriate manner.

13. ASSIGNMENTS
Sponsor cannot transfer or assign this Sponsorship Agreement or any part of it without receiving prior written consent from Madison Events.

15. OTHER OPPORTUNITIES
Sponsorship information for the Parade Preview Party and post-Parade Auction will be available early in 2018.

16. GIVEBACK (Optional)
Grand Marshal sponsors can choose to designate $2,500 of their sponsorship payment to the charity of their choice as a contingent beneficiary. Distribution can only be made to tax-exempt organizations under the 501 (c) (3) of the Internal Revenue Code. In the event a designation is received for a non-eligible organization, the dollars will be distributed to Bucky on Parade beneficiaries Garding Against Cancer and the Madison Area Sports Commission.
